Welcome to KeyQ, Inc. (“KeyQ,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, applications, software, services, and communications (collectively, the “Services”).

By accessing or using any KeyQ Services, you agree to be bound by these Terms.

1. Services

KeyQ provides software development, consulting, hosting, analytics, and related digital services, including custom applications, web platforms, APIs, and tools. Some Services are delivered under separate written agreements; in those cases, the terms of those agreements take precedence.

2. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services in a way that violates any applicable law or regulation

  • Attempt to interfere with, disrupt, or gain unauthorized access to any system or data

  • Use the Services to transmit harmful, abusive, or misleading content

We reserve the right to suspend or terminate access if we reasonably believe misuse has occurred.

3. Accounts & Access

Some Services require an account or credentials. You are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account.

4. Intellectual Property

All content, software, and materials provided by KeyQ—including designs, code, text, graphics, and trademarks—are owned by or licensed to KeyQ unless otherwise stated.

Unless explicitly granted in writing, no rights or licenses are transferred to you.

5. Client Work & Deliverables

For consulting or custom development projects, ownership, licensing, and usage rights are governed by the applicable project agreement, statement of work, or contract.

6. SMS & Communications

By providing your phone number to KeyQ, you consent to receive transactional and conversational messages related to your projects, account, or support requests. Message frequency varies.

You may opt out at any time by replying STOP. Reply HELP for assistance.
Standard messaging rates may apply.

KeyQ does not send marketing SMS without explicit consent.

7. Availability & Changes

We may modify, suspend, or discontinue any part of the Services at any time. We are not liable for interruptions or changes beyond our reasonable control.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, KeyQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, KeyQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

In no event shall KeyQ’s total liability exceed the amount paid by you to KeyQ in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or applicable law. Upon termination, your right to use the Services ceases immediately.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date reflects the most recent revision. Continued use of the Services after changes constitutes acceptance.
